Terms & Conditions Acceptance Document

Agreement Overview

This Master Services Agreement ("Agreement") is entered into between PrintDeed ("Service Provider") and the undersigned Client ("Client") for the provision of digital marketing, web-to- print setup, automation, and related services.

By signing this document, the Client acknowledges that they have read, understood, and agree to be bound by all terms and conditions outlined in the PrintDeed Master Services Agreement.

1. Services Covered

This Agreement covers all services provided by PrintDeed, including but not limited to:

  • Web-to-Print Store Setup and Management
  • Email Marketing and Automation Services
  • Workflow Optimization and Process Improvement
  • Creative Services (Design, Content, Media)
  • SEO and Digital Marketing
  • Dedicated Resource Services
  • Marketplace Setup (Etsy, Amazon, etc.)
  • Strategy and Consultation Services

2. Payment Terms

Monthly retainers: Billed in full in advance at the beginning of each billing cycle.

Project-based work: Requires 50% upfront payment and 50% before final delivery.

Support plans: Renew automatically unless canceled in writing with appropriate notice.

Important:

All payments are non-refundable once work or resource allocation has begun. Third-party platform fees (hosting, software subscriptions, marketplace fees) are the Client's responsibility and separate from PrintDeed service fees.

3. Client Obligations

The Client agrees to:
  • Provide accurate, complete, and timely information including product data, pricing, artwork, and technical specifications
  • Grant necessary platform access with appropriate permissions to perform the contracted services
  • Respond to requests, queries, and approval requests within agreed timelines
  • Use approved communication channels (Email, ClickUp, scheduled calls)
  • Avoid making unauthorized changes to live systems or platforms being managed by PrintDeed
  • Notify PrintDeed before implementing internal changes that may affect workflow, pricing, or system structure

4. Scope of Work and Changes

Each engagement is governed by a specific Service Level Agreement (SLA) or Scope of Work (SOW) document that defines deliverables, timelines, and limitations.

Out-of-scope work: Any task not explicitly documented in the SOW requires additional approval,
may incur additional charges, and will result in timeline adjustments.

Revisions: Each deliverable includes a specified number of revision rounds. Additional revisions
beyond the agreed limit will be billed separately.

Note:

Client-initiated changes or corrections to previously approved work will be treated as new requests and may be subject to additional charges.

5. Intellectual Property Rights

Client ownership (upon full payment): Custom designs, templates, configurations, and
deliverables created specifically for the Client.

PrintDeed retains ownership of: Proprietary frameworks, methodologies, internal processes, scripts,
and reusable systems used to deliver services.

6. Limitation of Liability

PrintDeed is not liable for losses or damages arising from:
  • Provide accurate, complete, and timely information including product data, pricing, artwork, and technical specifications
  • Grant necessary platform access with appropriate permissions to perform the contracted services
  • Respond to requests, queries, and approval requests within agreed timelines
  • Use approved communication channels (Email, ClickUp, scheduled calls)
  • Avoid making unauthorized changes to live systems or platforms being managed by PrintDeed
  • Notify PrintDeed before implementing internal changes that may affect workflow, pricing, or system structure
Liability Limit:

PrintDeed's total liability is strictly limited to the amount paid by the Client for services in the preceding 30 days.

7. Confidentiality and Data Security

Both parties agree to maintain strict confidentiality regarding business information, pricing
strategies, technical processes, and proprietary methods.

Platform credentials must be provided securely. While PrintDeed maintains confidential storage
practices, the Client acknowledges that PrintDeed is not liable for security breaches originating from
third-party platforms.

8. Term and Termination

This Agreement begins upon acceptance and continues until terminated by either party with
written notice, subject to fulfillment of billing obligations.

PrintDeed may suspend or terminate services for non-payment, failure to provide required
information, breach of confidentiality, or other material breaches as outlined in the full Terms &
Conditions.

Client may terminate with written notice, but all completed work and consumed hours must be
paid in full.

Agreement Acceptance

By signing below, both parties agree to the terms and conditions of this Master Services Agreement.
