PRINTDEED SERVICES AGREEMENT (MSA)
This Master Services Agreement governs all services provided by PrintDeed to our clients. By using or purchasing any PrintDeed service, the Client acknowledges and agrees to be bound by this Agreement.
1Definitions
1.1 Services
Means all services provided by PrintDeed, including but not limited to Web-to-Print Store Setup, Email Marketing & Automation, Workflow Optimization, Creative Services, SEO, Outreach Services, Dedicated Resource Services, Marketplace Setup, Strategy & Consultation.
1.2 Service Level Agreement
Means the written proposal, quotation, onboarding document, or service outline describing deliverables (SOW), timelines, fees, and service limitations etc.
1.3 Client Materials
Means all data, product information, pricing structure and details, artwork/Graphics, Images, branding details, internal processes, and assets provided by the Client.
1.4 Deliverables
As per Service Level Agreement
1.5 Third-Party Platforms
Means any platform not owned by PrintDeed (e.g., Mailchimp, Klaviyo, Web-to-Print (Ecommerce), Etsy, Amazon, Google, Facebook, etc.).
1.6 Work Hours or Assigned Hours
Means the total monthly hours included within the Client’s active plan or service/SOW.
1.7 Additional Hours
Means work performed beyond the Service Hours, it will be billable at the agreed hourly rate.
2Agreement Details
This Agreement governs all engagements between PrintDeed and the Client (“Client Company Name”).
Each project, retainer, or service package may additionally reference a Service Agreement.
In the event of conflict, the SOW supersedes the general terms for that specific project.
3Scope of Work (SOW)
3.1 Term
This Agreement begins on the date of acceptance and continues until terminated by either party with written notice, subject to billing obligations.
3.2 Service Pause or Termination by PrintDeed
PrintDeed reserves the right to pause, suspend or terminate the Services, in whole or in part, upon written notice to the Client, under any of the following circumstances:
- Non-Payment: The Client fails to make any due payment within fifteen (15) days of the invoice due date.
- Failure to Provide Required Information: The Client does not provide necessary data, materials, approvals, or system access within fifteen (15) days from the effective date of this Agreement or from the date such information is requested.
- Breach of Confidentiality: The Client breaches any confidentiality obligations outlined in this Agreement.
- Scope Violations: The Client requests work that exceeds the agreed-upon scope of Services without prior written approval, or refuses to sign off on additional scope or charges.
- Misuse or Improper Conduct: The Client engages in misuse of the Services, inappropriate behaviour, or actions that hinder PrintDeed’s ability to perform its obligations.
- Commercial Unreasonableness: Continued performance of the Services becomes commercially unreasonable or impracticable due to circumstances beyond PrintDeed’s control.
Note: PrintDeed shall not be liable for any delays or consequences arising from such suspension or termination. Any work completed prior to suspension or termination shall remain billable and payable by the Client.
4Scope of Work (SOW)
4.1 SOW Binding
Only tasks explicitly stated in the SOW or written communication are included.
4.2 Out-of-Scope Work
Any task, revision, or requirement not documented in the SOW is considered out-of-scope and will require:
- Additional Charges
- Approval via email or ClickUp
- Timeline adjustment
4.3 Client Cooperation
Client delays automatically extend delivery timelines.
5Payment Terms
5.1 Billing Structure
- Monthly retainers are full billed in advance.
- Project-based work requires 50% upfront and 50% before final delivery.
- Support or maintenance plans renew automatically unless canceled in writing.
5.2 Non-Payment
PrintDeed may pause work if payment is delayed. Reactivation may require additional fees.
5.3 Platform Fees
All third-party platform fees (Mailchimp, OnPrintShop, marketplaces, hosting, etc.) are the Client’s responsibility.
5.4 No Refunds
Payments are non-refundable once work or resource allocation has begun.
6Client Obligations
The Client agrees to:
- Provide accurate product data, pricing, catalogs, artwork, and technical information
- Provide platform access, with admin-level rights where required
- Respond to requests, queries, and approvals within agreed timelines
- Use approved task submission channels (Email, ClickUp)
- Avoid making unauthorized changes to live systems
- Notify PrintDeed before making internal changes affecting workflow, pricing, or system structure
Important: PrintDeed is not liable for delays caused by incomplete or incorrect data provided by the Client.
7Service-Specific Terms
7A. WEB-TO-PRINT SETUP
7A.1 Assigned Hours & Additional Hours
Web-to-Print work is governed by purchased hours at service level.
- Upon exhaustion of Assigned Hours, remaining tasks shall shift to the next billing cycle or be executed as Additional Hours with the Client’s written approval.
- No expanded task begins without approval.
7A.2 Multi-Task Workload Handling
If monthly tasks exceed Assigned Hours, PrintDeed will:
- Prioritize tasks
- Provide a completion schedule
- Propose Additional Hours for immediate completion
7A.3 Urgent Task Delivery
Minimum SLA for Web-to-Print urgent tasks is 3 working days.
- Smaller tasks may be delivered sooner; however, 3 days is the official completion timeline.
- For complex, technical and 3rd party integration tasks will be first check for feasibility, implementation plan and timeline will be finalized.
- If alignment with ongoing work is possible, PrintDeed will adjust timelines accordingly.
7A.4 Client-Side Edits & Rework
Any changes made directly by the Client after PrintDeed has completed, tested, or approved task will invalidate the previous work.
- Restoration or correction due to Client actions is fully billable.
- Reverting or recovering settings is considered new work and it will be billable.
7A.5 Consultation Fees
If the Client primarily uses PrintDeed for training, advice, or guidance but performs implementation independently, PrintDeed may charge consultation fees as per minimum service plan of PrintDeed for initial stage and later-on for continuation client needs to buy full service plan or continue with minimum one for:
- Meetings
- Technical guidance
- Strategic reviews
- Task Analysis and Advice
7A.6 Accuracy of Client Materials
PrintDeed relies on correct data. Errors in pricing, specifications, or catalog structure provided by the Client will require additional billed hours for correction.
7A.7 Platform Limitations
PrintDeed is not liable for: Bugs Missing features Outages Restrictions imposed by third-party Web-to-Print platforms
7B. EMAIL MARKETING & AUTOMATION
7B.1 SLA for Urgent Emails
- Any urgent campaign or automation requires minimum 3 working days.
- Complex automations or multi-segment campaigns may require extended timelines.
- All emails undergo testing, content review, design approval, and segmentation verification.
7B.2 Platform Access
Admin-level access is required for correct setup. Limited access may prevent proper execution.
7B.3 Performance Disclaimer
Campaign performance depends on:
- Audience quality
- Domain reputation
- Client’s historical sending behavior
- Industry engagement patterns
7B.4 Revisions
Approved emails revised later will be billable as new tasks.
7C. WORKFLOW OPTIMIZATION
- Recommendations are based on industry best practices and may require Client staff cooperation.
- Implementation work beyond consultation is billable.
7D. DEDICATED RESOURCE SERVICES
- All tasks must be submitted via approved channels.
- Urgent or after-hours tasks beyond Assigned Hours are billable.
- Resource performance depends on clear and organized task assignment from the Client.
- Unused hours do not roll over unless stated in SOW.
7E. B2B STORE SETUP
- Client must provide accurate product rules, pricing tiers, and permission levels.
- Any rework due to incorrect data is billable.
7F. ETSY & AMAZON STORE SETUP
- Marketplace approvals are not guaranteed.
- Suspensions or listing rejections due to platform policies require additional charges for remediation.
7G. SEO SERVICES
- No ranking guarantees are offered.
- SEO results depend on competition, algorithm shifts, and Client compliance.
- Technical SEO may require Client-provided developer support.
7H. CREATIVE MEDIA SERVICES
- Editing revisions beyond agreed limits are billable.
- Final content performance is subject to platform algorithms outside PrintDeed’s control.
7I. OUTREACH & LEAD GENERATION
- Lead quantity or revenue outcomes are not guaranteed.
- Deliverability depends on domain health, list quality, and market behavior.
- All outreach complies with ethical and legal communication guidelines.
7J. CONSULTATION & STRATEGY
- Additional sessions beyond agreed package hours are billable.
- PrintDeed is not liable for outcomes if recommendations are not implemented correctly.
8 Delivery Timelines
- All delivery dates are estimates based on scope and workload.
- Delays may occur due to Client dependencies, third-party platform issues, or change requests.
- PrintDeed will notify the Client of revised timelines when applicable.
9Revisions & Change Requests
9.1 Revision Rights
Each deliverable includes specified revision rounds. Additional revisions are billable.
9.2 Change Requests
Any modification to the approved design, content, catalog setup, or workflow constitutes a new request.
9.3 Rework
Rework caused by Client-side edits or inaccurate Client materials is billable.
10Confidentiality
Both parties agree to maintain confidentiality regarding:
- Business information
- Pricing and strategy
- Platform access
- Technical processes
- Proprietary methods
PrintDeed may use anonymized project outcomes as case studies unless prohibited in writing.
11Data Security
- Credentials must be provided securely.
- PrintDeed maintains confidential storage but is not liable for breaches caused by third-party platforms.
- Client must revoke access upon completion if desired.
12 Intellectual Property
12.1 Client Ownership (Upon Full Payment)
The Client owns:
- Email templates, designs, and creative assets
- Web-to-Print configuration applied specifically for the Client
- Workflow documents created for the Client
- Landing pages and content created under SOW
12.2 PrintDeed Ownership (Always Retained)
PrintDeed retains ownership of:
- Proprietary frameworks
- Checklists and internal processes
- Scripts, methodologies, and reusable structures
- Confidential systems used to execute Services
13Limitation of Liability
PrintDeed is not liable for:
- Losses caused by third-party platform issues
- Incorrect data supplied by the Client
- Client-side system misuse or unauthorized changes
- Force majeure or uncontrollable events
- Business losses unrelated to the services provided
Important: Liability is strictly limited to the amount paid by the Client for the Services in the last 30 days.
14Warranties & Disclaimers
PrintDeed provides Services on a best-effort basis and does not warrant:
- Guaranteed revenue outcomes
- Marketplace approvals
- SEO ranking positions
- Specific lead counts
- Algorithm performance
- Platform uptime
15Support & Maintenance
Support is provided according to the active plan.
Urgent, after-hours, or out-of-scope support may be billed separately.
Maintenance tasks may require scheduling based on workload.
16 Communication Standards
Official communication channels:
- Click-Up (Project Management Tool)
- Scheduled calls
- MS-Teams
WhatsApp or phone may be used for critical urgent updates only.
17 Dispute Resolution
In case of disputes:
- Parties shall first attempt to resolve matters through written communication.
- If unresolved, the matter may proceed to mediation.
- Legal jurisdiction shall be governed by the location of PrintDeed’s registered office, unless otherwise agreed.
18 Acceptance of Terms
By engaging PrintDeed, submitting payment, signing a proposal, or using any PrintDeed service, the Client confirms acceptance of these Terms & Conditions.
